On November 3, 2016, MIMUSA entered intoan underwriting agreement (the “Underwriting Agreement”) with the Issuer and Barclays Capital Inc., as underwriter(the “Underwriter”), pursuant to which MIMUSA agreed to sell to the Underwriter, and the Underwriter agreed to purchasefrom MIMUSA, subject to and upon the terms and conditions set forth therein, an aggregate of 2,870,000 shares of Common Stock (the“Shares”) at a price of $81.48 per Share. The sale of the Shares pursuant to the Underwriting Agreement closed on November9, 2016.
Except as set forth above, MIMUSA has notformulated any plans or proposals which relate to or would result in: (a) the acquisition by any person of additional securitiesof the Issuer or the disposition of securities of the Issuer, (b) an extraordinary corporate transaction involving the Issuer orany of its subsidiaries, (c) a sale or transfer of a material amount of the assets of the Issuer or any of its subsidiaries, (d)any change in the present board of directors or management of the Issuer, (e) any material change in the Issuer’s capitalizationor dividend policy, (f) any other material change in the Issuer’s business or corporate structure, (g) any change in theIssuer’s organizational documents or other or instrument corresponding thereto or other action which may impede the acquisitionof control of the Issuer by any person, (h) causing a class of securities of the issuer to be delisted from a national securitiesexchange or to cease to be authorized to be quoted in an inter-dealer quotation system of a registered national securities association,(i) a class of equity securities of the Issuer becoming eligible for termination of registration or (j) any action similar to anyof those enumerated above.
